Before joining our online course, PRINTIFY UNIVERSITY, please read these terms and conditions (“Terms”) carefully. These Terms govern the online course attendee's, speaker's, or participant's in any other capacity (“Participant”) registration and participation in any Printify, Inc. (“Organizer” or “Printify”) online “Printify University” course (“Course”). You confirm your agreement to the Terms by registering for the Course and/or upon your attendance, at which point this document becomes a legally binding contract between the Organizer and the Participant.

A. General

1. Participants are responsible for complying with all Course policies, guidelines, and instructions provided by the Organizer. By registering for or attending the Course, the Participants agree to the Terms without modification and enter into a binding contract with the Organizer.
2. Participants are responsible for their own actions and behavior during the Course. They should comply with the applicable laws and regulations and respect the rights and privacy of others.
3.Participants are responsible for any content they share, contribute, or post during the Course. Content shared should be appropriate, respectful, and in compliance with applicable laws and regulations, copyrights, intellectual property rights, and the Terms.
4. Participants are expected to engage in respectful and professional behavior throughout the duration of the Course. Harassment, discrimination, or any form of abusive behavior towards other Participants or Course staff is strictly prohibited. Unacceptable conduct and language may include the nature and manner of communication, uninvited contact or following, and unwelcome sexual attention, among others.
5. The Organizer will make reasonable efforts to ensure the health and safety of Participants during the Course, as well as smooth Course delivery, but make no guarantees as to the content and/or quality of the Course, including, but not limited to, participation of specific speakers, opportunities to conduct Q&A, refreshments, gifts, handouts, materials, uninterrupted access to the Course platform and others. Participants are responsible for having a stable internet connection, using compatible devices and software, and familiarizing themselves with any specific technical instructions provided by the Organizer.
6. Participants are responsible for maintaining the security of their own devices, accounts, and login credentials used to access the Course or any platform hosted by the Organizer for the purposes of the Course. Sharing login credentials or providing unauthorized access to third parties is prohibited. Participants must not transmit any viruses or any code of a destructive nature.
7. Participants understand and acknowledge that the Organizer is not liable for any damages, losses, or injuries incurred during or as a result of participating in the Course. Participants attend or engage in the Course at their own risk. In no event shall the Organizer, its officers, directors, agents, affiliates, employees, advertisers, or providers be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of use, loss of profits, or loss of data Participants may incur as a result of participating in the Course.
8. The Participant agrees to indemnify and hold Printify and its parent, subsidiaries, affiliates, partners, and providers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms, or your violation of any law or the rights of a third party.
9. The Organizer reserves the right to revise the Terms from time to time and the most current version will always be posted on the Organizer's website or directly communicated to the Participant. The “Last Updated” date at the top of the Terms reflects the date of the last modification. By registering for or attending the Course, Participants agree to the latest version of the Terms.
10. These Terms and the underlying agreement between the Parties are exclusively governed by and construed in accordance with the laws of the state of Delaware, U.S.A., without giving effect to such state’s choice-of-law rules that may require the application of the laws of another jurisdiction. Each party, acting for itself and its successors and assigns, hereby expressly and irrevocably consents that any disputes, controversies, or claims arising out of or in connection with this agreement, or the breach thereof, shall be finally settled subject to the claimant’s choice either by arbitration administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules, such arbitration shall be seated the in New York, or by the courts of Delaware, as well as the United States District Court for the District of Delaware.
11. Participants must be at least 18 years old.
12. Participants may not use the Course or any information gained from it for any illegal or unauthorized use.
13. Participants cannot publish the materials of the Course on any website nor share them publicly.

B. Privacy Policy

14. Terms govern the collection, use, and disclosure of personal information of Participants attending the Course. By registering for the Course, the Participant acknowledges that they have read, understood, and agreed to the Privacy Policy of the Terms.
15. By registering for or attending the Course, the Participants hereby give voluntary and knowing consent to the Organizer to film, produce, make video recordings, and/or develop electronic recordings of the Course that may often include the Participants (i.e., the Organizer may record the visual image and audio of Participants, including questions asked by the Participants).
16. Any content Participants share or create in connection with the Course or any information Participants share with the Organizer or other Participants during the Course or any post-course surveys or feedback is not considered to be confidential.
17. The Organizer may collect personal information from Participants, including but not limited to:
a. Name, contact information (e.g., email address, phone number), and professional information (e.g., job title, company name) provided during registration.
b. Information shared during the Course, such as questions, comments, or survey responses.
c. Technical information is automatically collected, including but not limited to IP address, device information, and browser type.
18. Personal data may be used for the following promotional purposes, including but not limited to:
a. Communicate with Participants about the Course, including updates, schedule changes, or important announcements.
b. Organize and facilitate the Course.
c. Provide access to Course materials, presentations, or recordings.
d. Personalize the Course experience, including tailoring content or recommendations based on Participant preferences.
e. Improve the Course, Organizer's services, and understand Participant needs and interests.
f. Conduct surveys, evaluations, or research related to the Course.
g. Comply with legal obligations or to protect the Organizer's rights and interests.
h. Send promotional offers, newsletters, or marketing communications.
i. Personalize Organizers content, recommendations, or advertisements.
j. Conduct market research, analytics, and statistical analysis.
k. Improve Organizer's products, services, and website functionality.
l. Any other legitimate promotional purposes of Organizer’s products and services.
19. The Organizer may share personal data with:
a. Organizer’s employees, agents, consultants, and other affiliates, including Printify Development SIA.
b. Third-party service providers who assist the Organizer in organizing the Course.
c. Organizer’s business partners or affiliates for joint marketing or promotional activities, with consent from Participants where required by law.
d. Law enforcement agencies, regulatory authorities, or other third parties when necessary to comply with legal obligations, enforce rights of the Organizer, or protect the rights, property, or safety of individuals or others.
e. Affiliates of the Course Affiliate Program if the Participant has signed up using a custom coupon code from an affiliate.
20. Personal information may be shared in aggregated or anonymized form for statistical analysis, marketing, or promotional purposes.
21. Participants have the right to:
a. Access their personal data and request information about its usage.
b. Rectify any inaccurate or incomplete personal data.
c. Object to the data usage for promotional purposes.
d. Ask the Organizer for supplementary information about:
i. The categories of data the Organizer is processing;
ii. The purposes of data processing;
iii. The categories of third parties to whom the data may be disclosed;
iv. How long the data will be stored for (or the criteria used to determine that timeframe);
e. Participants can exercise these rights at any time by sending the Organizer an email to privacy@printify.com.
22. The Organizer has physical, electronic, and managerial procedures to safeguard and secure the information collected by the Organizer. The Organizer operates on servers and cloud components that may be located in various jurisdictions and comply with international standards. Access is limited to specific employees only and protected by two-factor authentication.
23. The Organizer may use cookies and similar technologies to collect information and enhance the Participant's experience. By registering for or attending the Course, Participants consent to the use of cookies in accordance with the Organizer's privacy policy and cookie policy available on the Organizer’s website: https://printify.com/privacy-policy/.
24. Personal data will be retained only for as long as necessary to fulfill the purposes outlined in these Terms unless a longer retention period is required or permitted by law. The criteria used to determine the retention period include the nature of the personal data, the purpose for which it was collected, legal obligations, and our business needs.

C. Intellectual Property Policy

25. Terms govern the use and ownership of intellectual property of the Course organized by the Organizer, as well as the intellectual property of the Participant, if any.
26. Intellectual property refers to any copyrights, trademarks, patents, trade secrets, or any other intellectual property rights protected by applicable law.
27. All intellectual property rights in and to the Course, any materials or content presented or distributed in connection with the Course are owned by the Organizer and the Course any speaker presenting at the Course. Organizer's trademarks, logos, and service marks and those trademarks, logos, and service marks licensed to the Organizer are registered and unregistered marks of the Organizer.
28. By participating in or attending the Course, Participants, sponsors, other individuals, or entities grant the Organizer a non-exclusive, royalty-free license to use, reproduce, distribute, display, and modify their intellectual property solely for the purposes of promoting the Course, future events organized by the Organizer or promotion of the Organizer's products and services.
29. Participants shall not use any intellectual property used in the Course protected by copyright, trademark, or other intellectual property rights without obtaining the necessary permission from the Organizer.
30. The Organizer may grant permission to the Participant to use intellectual property (i.e., any materials, copyrights, trademarks) used in the Course for the purpose of promoting the Course. Unauthorized use of intellectual property is strictly prohibited and may result in legal action.
31. Participants, sponsors, or other individuals or entities hereby release and waive any claims, demands, or actions against the Organizer arising from the use or misuse of their intellectual property during or in relation to the Course.
32. Participants shall maintain the confidentiality of any proprietary or confidential information disclosed to them during the Course.

D. Accuracy, completeness, and timeliness of information

33. The Organizer is not responsible if the information made available during the Course is not accurate, complete, or current. The materials provided as part of the Course are provided as general information only and should not be relied upon or used as the sole basis for decision-making without consulting other sources, e.g., primary sources, more complete and more timely sources of information. Any reliance on the material provided by the Organizer is at your own risk.
34. The Organizer is not responsible for the information provided in any bonus classes and the classes provided by external experts during or in any seeming or existing relation to the Course.
35. The Organizer reserves the right to modify and make changes to the contents of the Course and its related websites at any time. However, the Organizer has no obligation to update or amend any information contained in the Course or on its related websites. It is the responsibility of the Participant to monitor the changes made to the Course and its related websites.

E. Products of service

36. The Organizer reserves the right but is not obligated to limit the sales of the Course or other services to any person within any geographical area or jurisdiction. The Organizer may exercise this right on a case-by-case basis. The Organizer reserves the right to limit the quantity of any products or services offered by the Organizer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of the Organizer. The Organizer reserves the right to discontinue any product at any time, giving a 30-day notice.
37. The Organizer has set the full Course fee at USD 150.00 (one hundred and fifty U.S. dollars and zero cents)(“Course Fee”). Payment of the Course Fee will give you access to the Course. The Course fee might differ for a Participant who has signed up for the Course for a discounted price offered at the sole discretion of the Organizer.
38. The Participant is eligible to receive a cashback of the Course Fee from the Organizer as store credit on the Organizer’s site for the Participant’s Printify store. This cashback offer is valid for both new and existing Printify users. The Course Fee cashback will be provided in the form of Printify store credit to the Printify accounts that have completed the Course. The cashback store credit will be provided in the same amount as the Course Fee the Participant has paid, excluding tax (“Cashback”).
39. If the Participant has not completed the Course, the Cashback will not be issued. Determining whether the Course has been completed is in the sole discretion of Printify. Participants will be contacted upon the completion of the Course and when the Cashback is issued.

F. Modifications to the service and prices

40. The price of the Course is subject to change without notice. If you purchase the Course before the change in price, then your price will remain the same.

G. Prohibited uses

41. In addition to other prohibitions set forth in the Terms, you are prohibited from using the Course, any linked website, or content:
a. For any unlawful purpose.
b. To solicit others to perform or participate in any unlawful acts.
c. To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
d. To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
e. To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
f. To submit false or misleading information.
g. To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the service or of any related website, other websites, or the internet.
h. To collect or track the personal information of others.
i. To spam, phish, pharm, pretext, spider, crawl, or scrape.
j. For any obscene or immoral purpose.
k. To interfere with or circumvent the security features of the service or any related website, other websites, or the internet. We reserve the right to terminate your use of the service or any related website for violating any of the prohibited uses.

H. Cancellation

42. The Organizer reserves the right to cancel or postpone the Course in its sole discretion, without prior notice or liability.
43. In the event of cancellation or postponement, the Organizer will make reasonable efforts to notify registered participants and attendees through the contact information provided during registration.
44. The Course may be canceled or postponed for any reason, including but not limited to:
a. Acts of nature, such as severe weather conditions, natural disasters, or epidemics/pandemics.
b. Governmental regulations, orders, or restrictions.
c. Availability of key speakers.
d. Venue or online platform unavailability or unforeseen circumstances affecting Course logistics.
e. Force majeure events or other unforeseen circumstances.
45. In the event of cancellation or postponement, the Organizer may, at its sole discretion, provide alternative arrangements such as virtual events, rescheduling, or other options. The Participant acknowledges that such alternate arrangements are not guaranteed and are subject to the Organizer's discretion and feasibility.
46. The Organizer shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the cancellation or postponement of the Course, including but not limited to financial losses, travel expenses, or inconvenience. Participants understand and acknowledge that the Organizer will not refund or compensate in case of cancellation of the Course.
47. The Organizer reserves the right to cancel or replace a scheduled speaker at its sole discretion without prior notice or liability.
48. In the event of speaker cancellation or replacement, the Organizer will make reasonable efforts to notify registered participants and attendees through the contact information provided during registration.
49. A speaker may be canceled or replaced for any reason, including but not limited to:
a. Unforeseen scheduling conflicts or personal emergencies.
b. Illness, injury, or incapacitation.
c. Technical issues.
d. Force majeure events or other unforeseen circumstances.
50. The Organizer shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the cancellation or replacement of a speaker, including but not limited to disappointment, financial losses, or inconvenience.
51. Participants understand and acknowledge that the selection and availability of speakers are subject to change, and the Organizer shall not be responsible for any damages or injuries incurred as a result.
52. In the event of speaker cancellation or replacement, the Organizer may, at its sole discretion, explore alternative arrangements such as substituting with another speaker, rescheduling, or modifying the program. Participants acknowledge that such alternate arrangements are not guaranteed and are subject to the Organizer's discretion and feasibility.
53. The Organizer reserves the right to accept or reject registrations of any kind of Participants (including listeners). The Organizer shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the rejection of Participants.
